In Austria agency guidelines are implemented in the Handelsvertretergesetz (HvertG). Provisions in section 24 include:

§ 24. (1) Nach Beendigung des Vertragsverhältnisses gebührt dem Handelsvertreter ein angemessener Ausgleichsanspruch, wenn und soweit

1. Er dem Unternehmer neue Kunden zugeführt oder bereits bestehende Geschäftsverbindungen wesentlich erweitert hat,

2. zu erwarten ist, daß der Unternehmer oder dessen Rechtsnachfolger aus diesen Geschäftsverbindungen auch noch nach Auflösung des Vertragsverhältnisses erhebliche Vorteile ziehen kann, und

3. die Zahlung eines Ausgleichs unter Berücksichtigung aller Umstände, insbesondere der dem Handelsvertreter aus Geschäften mit den betreffenden Kunden entgehenden Provisionen, der Billigkeit entspricht.

(4) Der Ausgleichsanspruch beträgt mangels einer für den Handelsvertreter günstigeren Vereinbarung höchstens eine Jahresvergütung, die aus dem Durchschnitt der letzten fünf Jahre errechnet wird. Hat das Vertragsverhältnis weniger als fünf Jahre gedauert, so ist der Durchschnitt der gesamten Vertragsdauer maßgeblich.

with regard to the wording the regulation is very similar to the Dutch one, albeit that the wording ‘angemessener Ausgleichanspruch’ (in Dutch I would translate this as ‘naar omstandigheden passende vergoeding’ [fee appropriate to the circumstances]) is not stated in the Dutch regulation – next to the criterion of fair fees (‘der billigkeit entspicht’). It is not likely that a double ‘test of reasonableness’ is introduced by this.

In case law criteria have developed on the basis of which the goodwill fee or ‘Auslgleichsanspruch’ is calculated. However, it should be noted that the Oberste Gerichtshof has ruled that each case should be assessed on its own merits and circumstances and that in principle the calculation of the ‘goodwill fee’ does not allow for the application of set formulas and general (for each case applicable) calculation methods. In its judgment of 9 August 2006 (40b65/06x) the stipulations of the OGH include the following.

“Vorauszuschicken ist weiters, dass die Bestimmung der Höhe der nach Billigkeit gebührenden Ausgleichszahlung (§ 24 Abs 1 Z 3 HVertrG) sehr schwierig ist und sich notwendigerweise an den Besonderheiten des Einzelfalls auszurichten hat. Für pauschale Berechnungsweisen oder die Ermittlung der Höhe des Anspruchs nach festen Formeln ist grundsätzlich kein Raum.”

Taking the above general rule into account the calculation of the goodwill fee can be based on the following reference points. When qualifying the ‘principal’s benefits’ and further substantiating the question whether the fee, taking all circumstances into consideration, is fair a prognosis is made for the future. The commission received for bringing in new customers and increasing the existing client base during the last twelve months preceding the termination of the agency agreement forms the basis for this (‘Bemessungsgrundlage’). This amount will be deducted by fees received in connection with

  • (pure) administrative duties (‘Verwaltende Tätigkeiten’),
  • commission received regarding clients with whom a relationship in the future is not likely (‘keine Mehrfachkunden’),
  • decrease in turnover due to departing clients (‘Abwanderung’).

The amount that remains after this exercise can then be adjusted by the interest advantage created by payment of a lump sum to the agent (‘Barwert Abzinzung’) and then be extrapolated to the relevant future period, during which it can be assumed that the principal will also receive the benefits (Prognosezeitraum). The length of this period is usually between three and five years. In determining the length of this reference period, consideration is given to the fact of how regularly before the termination of the agency relationship the agent achieved turnover with the clients the principal gains permanent benefits from.

Finally, it must be assessed whether the fee, taking the circumstances of the specific case into consideration, is fair and whether or not this exceeds the maximum fee amount (remuneration of one year / ‘Jahresvergüting’, Section 24 par. 4 HvertG). If the result of the exercise is lower than the maximum amount the lower amount applies, if the result is higher the amount is maximised to the amount of one year or the ‘Jahresvergütung’.
